Vitalease Unipessoal, Lda. (hereinafter "Vitalease", "we", "our" or "the company") is a commercial company incorporated under Portuguese law, engaged in the e-commerce of food supplements, digital products and the provision of coaching services in exercise physiology and wellness strategies.

2. Purpose and Scope

These General Terms and Conditions (hereinafter the "Terms") govern all contractual relationships between Vitalease and the users and customers who access, browse, or purchase products or services through the websites www.rpfit.io and www.primecellnutrition.com, as well as through any associated commercial channels (social media, email marketing, telephone support, WhatsApp, or others).

By placing an order, contracting a service or accessing a digital product, the customer expressly declares to have read, understood and fully accepted these Terms. If the customer does not agree with any of the points described herein, they should refrain from making the purchase or contracting the service.

3. Definitions

For the purposes of these Terms, the following definitions apply:

  • a) Customer: any natural or legal person, aged 18 or over, who purchases products or contracts services from Vitalease.
  • b) Consumer: a natural person acting for non-professional purposes, within the meaning of Art. 2 of Law No. 24/96, of 31 July.
  • c) Food supplements: physical products marketed by Vitalease, namely Kyoslim, Reset Intestinal and any others launched under the brand.
  • d) Digital products: e-books, PDF guides, online videos, membership areas or other digital content marketed in electronic format.
  • e) Coaching programme: individualised support services in exercise physiology, training and dietary strategies based on educational principles, provided by Ricardo Palma or by professionals recommended by him.
  • f) Individualised dietary strategy: a set of dietary suggestions and guidance of an educational and general nature, based on principles of exercise physiology and applied nutritional science, which DOES NOT constitute a clinical prescription or an individualised dietary plan in the sense reserved for nutritionists registered with the Portuguese Order of Nutritionists.

4. Purchase and Contracting Process

Ordering products or contracting services through Vitalease's websites involves the following steps: selecting the product or service, filling in personal and billing details, choosing a payment method, accepting these Terms and final confirmation of the order.

The contract is considered concluded when the customer receives the order confirmation by email. Vitalease reserves the right not to accept or to cancel orders in justified cases, namely: unavailability of stock, manifest pricing error, suspicion of fraud or prior breach of obligations by the customer.

5. Prices, Payment and Billing

All prices displayed on the websites are expressed in euros (€) and include VAT at the current statutory rate, unless expressly stated otherwise. Shipping costs are calculated at checkout and presented to the customer before final confirmation of the order.

Available payment methods include: credit or debit card, MB Way, multibanco reference, bank transfer and other electronic methods that may be made available. Billing is processed in accordance with Portuguese tax legislation and the invoice is sent by email to the address provided by the customer at the time of purchase.

5.1. Installment payments (coaching programme)

The coaching programme may be paid in a single advance payment or in up to 3 (three) or 6 (six) consecutive monthly interest-free installments, without additional commissions or processing fees. The total amount payable is divided into equal parts, with each installment charged on the date agreed with the customer at the time of contracting.

6. Delivery of Physical Products and Shipping

Food supplements are delivered through logistics operators contracted by Vitalease to the address indicated by the customer. The estimated average delivery times are:

  • Mainland Portugal: 2 to 5 business days
  • Autonomous Regions of the Azores and Madeira: 5 to 10 business days
  • European Union and third countries: 7 to 15 business days, subject to customs duties and taxes payable by the recipient

The indicated timeframes are merely estimates and do not constitute a binding delivery deadline unless expressly agreed in writing. Vitalease is not responsible for delays attributable to the logistics operator, extreme weather conditions, strikes, public calamities or force majeure.

7. Right of Free Withdrawal (14 days)

Under Decree-Law No. 24/2014, of 14 February, the consumer has the right to freely withdraw from the contract, without stating any reason, within 14 (fourteen) consecutive days from the date of receipt of the physical product or from the date the contract is concluded, in the case of digital products or services.

7.1. Exceptions to the right of free withdrawal

Under Art. 17 of the aforementioned Decree-Law, the right of free withdrawal does not apply in the following cases:

  • a) Food supplements with a broken seal: Supplements whose packaging has been opened, whose safety seal has been broken, or whose contents have been partially or fully consumed — for health protection and hygiene reasons — are not subject to the right of free withdrawal.
  • b) Accessed digital products: E-books, PDF guides, online videos and membership area content that have been downloaded, accessed or viewed by the customer after purchase are no longer covered by the right of free withdrawal, as the customer was previously informed of the loss of this right and gave their express consent by initiating access.
  • c) Coaching programme started: The right of free withdrawal does not apply to the coaching programme after the first session has been delivered or the first personalised support material has been sent, as the service is considered to have been provided.

7.2. Exercising the right of free withdrawal

To exercise the right of free withdrawal, the customer must communicate their decision to Vitalease via email at support@vitalease.pt, indicating the order number and identification details. The customer is responsible for the direct costs of returning the physical products. The refund will be processed within 14 days of receipt of the returned product, using the same payment method as the original purchase, unless otherwise agreed.

8. Vitalease Commercial Guarantee — 180 Days

In addition to the right of free withdrawal provided for in the previous point, Vitalease offers a complementary 180 (one hundred and eighty) day commercial guarantee applicable to food supplements, calculated from the date the customer receives the product.

This commercial guarantee is optional and free, complementing the consumer's statutory rights, and allows the customer to request a full refund of the amount paid if they are not satisfied with the results obtained, provided that the following cumulative conditions are met:

8.1. Conditions of the commercial guarantee

  • a) Return of the packaging used: The customer must return, at their own responsibility and expense, all packaging from the products purchased (even if empty), as proof of product use. Return costs are borne by the customer.
  • b) Compliance with the protocol: The customer must have followed the usage protocol sent by email after purchase, which includes dietary suggestions of an educational nature and physical activity recommendations, for the minimum recommended period for the product.
  • c) Request made within the timeframe: The refund request must be communicated by email to Vitalease support (support@vitalease.pt) within 180 days of receiving the product, clearly stating the reasons for the request.

8.2. Processing the refund

Once the above conditions are verified, Vitalease will process the full refund within 14 (fourteen) business days of receiving the returned packaging, using the same payment method as the original purchase.

8.3. Limitations of the commercial guarantee

The 180-day commercial guarantee is a complementary and voluntary offer from Vitalease and does not replace or reduce the consumer's statutory rights under Portuguese law. Vitalease reserves the right to refuse requests that are manifestly abusive, fraudulent or do not meet the conditions described above.

9. Digital Products

Digital products include e-books, PDF guides, online videos, membership areas and other electronic content. These products are provided to the customer via immediate download, an access link or credentials for a reserved area, as the case may be.

9.1. Refund of digital products

Digital products benefit from the 14-day right of free withdrawal provided for in point 7 of these Terms, provided that the customer has not initiated access, download or viewing of the content. Once access is initiated, the customer loses the right of free withdrawal, as expressly accepted at the time of purchase.

9.2. Licence of use

By purchasing a digital product, the customer obtains a personal, non-transferable and non-exclusive licence for individual use of the content. It is expressly prohibited to copy, reproduce, distribute, share, resell, rent, decompile, modify or create derivative works from the digital products, in whole or in part.

Violation of these restrictions constitutes a violation of Vitalease's copyright and intellectual property rights, subjecting the infringer to applicable civil and criminal liability, namely under the terms of the Portuguese Code of Copyright and Related Rights.

10. Coaching Programme

The coaching programme consists of an individualised support service in exercise physiology, training and dietary strategies based on educational principles, delivered by Ricardo Palma, Exercise Physiologist licensed in Physical Education, or by professionals recommended by him.

10.1. Nature and limits of the service

The coaching programme DOES NOT include:

  • Clinical nutrition consultations or individualised dietary prescriptions (an act reserved for Nutritionists registered with the Portuguese Order of Nutritionists, under Law No. 51/2010, of 14 December);
  • Medical diagnosis, treatment or prescription (an act reserved for Doctors registered with the Portuguese Order of Doctors);
  • Assessment or intervention in clinical conditions, pathologies or diagnosed states of illness.

The programme includes: education on physical exercise, individualised training, dietary strategies based on educational principles of exercise physiology, monitoring the implementation of healthy habits, and general guidance on wellness and body composition.

10.2. Duration and installments

The duration of the programme, the number of sessions, the format of interactions and the schedule are defined at the time of contracting. Payment may be made in a single (advance) payment or in interest-free installments, in accordance with point 5.1 of these Terms.

10.3. Refund of the coaching programme

The coaching programme is non-refundable once the provision of the service has begun, as it is considered to have started from the first session delivered or the first personalised material sent to the customer. The customer may exercise the 14-day right of free withdrawal provided for in point 7, provided that the service has not yet started.

10.4. Breach of contract by the customer

In the event of the customer breaching the obligation to pay any agreed installment, the following procedure will apply:

  • a) After 15 (fifteen) days of delay in payment, Vitalease will send a first formal notice to the customer by email, granting an additional period of 5 business days to voluntarily regularise the situation.
  • b) If the breach persists after 30 (thirty) days of delay, Vitalease will proceed to suspend access to the programme's services and materials, without prejudice to the customer's continued obligation to pay the outstanding installments.
  • c) After 60 (sixty) days of delay, all remaining installments will be considered immediately due and payable in full.
  • d) After 90 (ninety) days without regularisation, Vitalease reserves the right to proceed with legal collection of the outstanding amounts, plus statutory interest and any associated costs and expenses, as well as report the breach to debt management and collection companies, in accordance with applicable legislation.

10.5. Results and expectations

The results of the coaching programme depend on multiple individual factors, namely: compliance with the protocol by the customer, physiological conditions, lifestyle, genetics, adherence to recommendations and other external factors. Vitalease does not guarantee specific results, and the success of the programme is proportional to the customer's engagement and compliance.

11. Important Notices (Disclaimers)

11.1. Regarding food supplements

The food supplements marketed by Vitalease are products intended to complement a normal diet and are not medicines. They should not be used as a substitute for a varied and balanced diet or a healthy lifestyle.

Products must be kept out of reach of children. Do not exceed the recommended daily dose. In case of pregnancy, breastfeeding, pre-existing illness, medication use or any clinical condition, the customer must consult a doctor before starting use.

11.2. Regarding professionals and qualifications

Ricardo Palma is an Exercise Physiologist licensed in Physical Education. HE IS NOT A DOCTOR OR NUTRITIONIST. The plans, dietary suggestions and recommendations provided within the scope of the coaching programme are educational and general in nature, DO NOT replace individualised medical or nutritional advice from a qualified professional, and must always be validated by a health professional competent for each individual case.

11.3. Regarding results and individual variability

The results from using food supplements or participating in coaching programmes may vary from person to person, depending on multiple physiological, genetic, behavioural and environmental factors. Testimonials, before/after images or references to specific results shared on Vitalease's communication channels do not constitute a promise, guarantee or expectation of specific results for any individual customer.

12. Intellectual Property

All content made available on the websites www.rpfit.io and www.primecellnutrition.com and in the materials associated with the coaching programme and digital products — including texts, images, photographs, videos, illustrations, brands, logos, design, source code, protocol structures and other elements — is the exclusive property of Vitalease Unipessoal, Lda. or of third parties who have authorised its use.

Any reproduction, distribution, communication to the public, transformation or use, in whole or in part, of the content without prior written authorisation from Vitalease is expressly prohibited. Violation of these rights subjects the infringer to the civil and criminal sanctions provided for in Portuguese legislation.

13. Limitation of Liability

Vitalease undertakes to provide its services and supply its products with the utmost care and professionalism. However, within the limits permitted by applicable law, Vitalease shall not be liable for:

  • a) Indirect, incidental, consequential damages, lost profits or loss of data resulting from the use or inability to use the products or services;
  • b) Results not obtained by the customer due to non-compliance with the protocol, negligence, undisclosed pre-existing conditions or external factors not attributable to Vitalease;
  • c) Technical failures, temporary unavailability of the websites, failures by payment, logistics or hosting service providers, or force majeure events;
  • d) Health decisions made by the customer without prior consultation with a medical professional or other competent health professional.

Vitalease's total liability in any dispute related to a product or service shall, in any case, be limited to the amount actually paid by the customer for that specific product or service.

14. Personal Data Protection

The processing of customers' personal data is carried out by Vitalease in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and Law No. 58/2019, of 8 August. For detailed information on the purposes, legal bases, retention periods, data subject rights, and other data protection matters, please refer to our Privacy Policy, available on Vitalease's websites.

15. Amendments to the Terms

Vitalease reserves the right to amend these Terms at any time by publishing the updated version on its websites, indicating the revision date. The amendments take effect immediately upon publication, unless otherwise stated. For orders and contracts concluded before the amendments, the Terms in force on the date of conclusion shall apply.

16. Severability

If any clause of these Terms is held by a competent authority to be void, invalid, or unenforceable, this shall not affect the validity and enforceability of the remaining clauses, which shall remain in full force and effect.

17. Alternative Consumer Dispute Resolution

In compliance with the provisions of Law No. 144/2015, of 8 September, we inform our users that any dispute between a consumer and Vitalease is covered by the Alternative Consumer Dispute Resolution mechanisms governed by the aforementioned Law No. 144/2015, of 8 September.

There are currently nine Alternative Dispute Resolution entities that can be identified according to their functional and regional competencies on the website https://www.consumidor.gov.pt/, which should be consulted for additional information.

18. Governing Law and Jurisdiction

These Terms are governed by Portuguese law. For the resolution of any disputes arising from the interpretation or performance of these Terms that are not resolved through the alternative resolution mechanisms provided for above, the parties agree that the Porto District Court shall have jurisdiction, expressly waiving any other jurisdiction.

This clause does not prejudice the consumer's rights to the protection conferred by the mandatory provisions of the law of their Member State of habitual residence, pursuant to Article 6 of Regulation (EC) No. 593/2008 (Rome I).
